These Terms & Conditions (“Terms”) govern your access to and use of all Software-as-a-Service (SaaS) products, cloud platforms, applications, websites, APIs, and related services (“Services”) provided by NEXAROOT TECHNOLOGY INDIA PRIVATE LIMITED.
By registering, accessing, or using our Services, you confirm that you have read, understood, and agreed to be legally bound by these Terms.
1. Definitions
- Company refers to NEXAROOT TECHNOLOGY INDIA PRIVATE LIMITED.
- User refers to any individual or entity using the Services.
- Software refers to all SaaS products, dashboards, tools, and modules.
- Subscription refers to paid or free access plans.
- Data refers to all information uploaded or generated by Users.
2. Eligibility & Account Registration
Users must be at least 18 years of age and legally capable of entering contracts. During registration, Users must provide accurate, complete, and updated information.
3. Scope of Services
NEXAROOT TECHNOLOGY provides cloud-based business software including but not limited to:
- Business management tools
- CRM / ERP / Hosting / Automation systems
- Billing, reporting, and analytics modules
- Third-party integrations
Services are provided on an “AS IS” and “AS AVAILABLE” basis.
4. Subscription, Billing & Payments
Users agree to pay all applicable subscription fees as per selected plans. Failure to complete payment may result in suspension or termination of Services.
All payments are strictly non-refundable unless explicitly stated in a written agreement.
5. User Obligations & Prohibited Activities
- No illegal, fraudulent, or abusive activities
- No hacking, reverse engineering, or system interference
- No resale or redistribution without written permission
- No upload of malicious code or harmful content
6. Data Ownership & Responsibility
Users retain ownership of their data. However, Users grant NEXAROOT TECHNOLOGY a limited license to process and store data for service delivery.
Users are solely responsible for data accuracy, legality, and compliance.
7. Data Security & Privacy
We implement industry-standard security practices; however, absolute security cannot be guaranteed. Users acknowledge inherent risks of internet-based systems.
8. Intellectual Property Rights
All software, branding, UI/UX designs, code, documentation, and trademarks are exclusive intellectual property of NEXAROOT TECHNOLOGY.
Unauthorized copying, modification, or distribution is strictly prohibited.
9. Service Availability & Downtime
While we aim for maximum uptime, Services may occasionally be unavailable due to maintenance, updates, force majeure events, or technical issues.
10. Third-Party Services
Our Services may integrate third-party platforms. NEXAROOT TECHNOLOGY is not responsible for third-party content, policies, or failures.
11. Termination & Suspension
We reserve the right to suspend or terminate accounts without notice if Terms are violated or misuse is detected.
12. Limitation of Liability
To the maximum extent permitted by law, NEXAROOT TECHNOLOGY shall not be liable for indirect, incidental, special, or consequential damages.
13. Indemnification
Users agree to indemnify and hold harmless NEXAROOT TECHNOLOGY from any claims, damages, or losses arising from misuse of Services.
14. Modifications to Terms
We may update these Terms at any time. Continued usage constitutes acceptance of revised Terms.
15. Governing Law & Jurisdiction
These Terms shall be governed by the laws of India. All disputes shall be subject to the exclusive jurisdiction of Indian courts.
